Timberland Invest Ltd has been appointed as the Distribution Agent of the following entities in terms of Distribution Agreements concluded between the parties. The respective Distribution Agreements set out the transferable securities in respect of which Timberland Invest Ltd may provide distribution services.
When providing distribution of financial instrument issued by the entities listed hereunder, the Company does so in compliance with its legal and regulatory obligations.
E-Stream Energy GmbH & Co KG is a limited liability company incorporated under the laws of Germany under company registration number HRA 9357. It has its registered office at Wilhelmshofallee 83, 47800 Krefeld, Germany and has been established with a limited partner and a general partner. The limited partner is Mr. Thomas Kraemer and as such, he is limitedly liable to the amount invested in E-Stream Energy GmbH & Co KG. E-Stream Energy GmbH & Co KG is represented by its general partner, namely E-Stream Energy Management GmbH, which also registered in Germany under company registration number HRB 17330. The affairs of the General Partner are directed by Mr. Dirk Koester and Mr. Thomas Kraemer.
E-Stream Energy GmbH & Co KG has issued a base prospectus dated 12 March 2021 in terms of the Prospectus Regulation which has been approved by the Central Bank of Ireland as competent authority under the Prospectus Regulation (the “Prospectus”).
The Central Bank only approves the Base Prospectus as meeting the standards of completeness, comprehensibility and consistency imposed by the Prospectus Regulation. Such approval should not be considered as an endorsement of the Issuer or the quality of the Notes that are the subject of this Base Prospectus. Investors should make their own assessment as to the suitability of investing in the Notes.
The Prospectus has been passported to Austria, Hungary, Grand Duchy of Luxembourg and Malta.
Timberland Securities Investment plc with registered address at CF Business Centre, Gort Street, St Julians STJ 9023, was incorporated in Malta on the 30 January 2015. Its securities had been authorised for public offering in terms of different Base Prospectuses, drawn up in accordance with the Prospectus Directive as approved by the Financial Market Authority of Liechtenstein. The Base Prospectus had been passported to a number of EU jurisdictions in terms of the Prospectus Directive.
