Timberland Capital AG has received an excellent assessment of its prospectus quality from the well-respected organisation “Institut der Wirtschaftsprüfer in Deutschland e.V”. This expert committee examines prospectuses to ensure that they not only contain, with reasonable assurance, the material disclosures required for making an investment decision, but that they are also clear, unambiguous and comprehensible. The disclosures required for this assessment far exceed, for example, the purely formal review for completeness required under the guidelines of the German Federal Financial Supervisory Authority (BaFin). The examining committee awarded us IDW S-4 certification on this basis without qualifications or notes in accordance with the IDW Standard “Principles for the Proper Assessment of Prospectuses for Investments Offered Publicly” issued by the Institut der Wirtschaftsprüfer in Deutschland e.V.
The German Federal Financial Supervisory Authority (BaFin), the final competent federal authority under section 8i paragraph 2, gave its approval for publication of the Timberland Capital AG prospectus on 30 April 2009.
Timberland Fonds commissioned an expert report on the tax considerations of the Timberland Capital AG issue of participation rights. This expert report by a well-known specialised legal firm documents the tax treatment of Timberland Capital AG participation rights. The prospectus contains a summary of the expert report by this tax consultancy firm. It is available, subject to a standard disclosure agreement with the tax consultancy firm, which we would be pleased to send to any interested party upon request.
In addition to these official certifications and expert documentation, we have also implemented a comprehensive information service using a variety of media. This allows different investor groups to be regularly informed based on need and interest about the various aspects of their investments.
Transparency also means being as open as possible to serious analysts and rating agencies that regularly analyse Timberland Capital AG and its funds from a wide variety of viewpoints.
